Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of MagnaTools (the “Service”), operated by Jirius Group LLC (“we”, “us”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

MagnaTools is a collection of image and document utilities. Some tools run entirely in your browser; others process your files on our first-party servers. Some tools are free, and some consume account credits. We may add, change, or remove tools and limits at any time.

2. Accounts and organizations

You are responsible for your account, your organization, and activity under them, and for keeping your credentials secure. You must provide accurate information and a valid email address, and you must be able to form a binding contract to use the Service.

3. Credits

Credits are a limited, revocable license to use metered features of the Service. Credits are not money, not a stored-value instrument, and have no cash value. They are non-transferable, are not redeemable for cash, and may expire as described at purchase or grant. Except where required by law, credits and payments are non-refundable.

4. Acceptable use

You agree not to, and not to attempt to:

Create multiple accounts or organizations to obtain repeated free credits, signup grants, or free-tier capacity;
Discover, enumerate, or exploit promotional or referral codes through automated or repeated attempts, or otherwise circumvent rate limits, daily caps, seat limits, or the credit system;
Redeem your own referral code, or coordinate redemptions, to manufacture rewards;
Share, resell, or exceed the seats or entitlements included with your plan;
Use the Service in a scripted or bulk manner beyond published limits, or probe, scan, or test the vulnerability of the Service without our written permission;
Upload or process unlawful content, or content you do not have the rights to;
Reverse engineer, decompile, or attempt to extract the source, models, or model weights behind the Service, except to the extent this restriction is prohibited by law.

5. License to the software and outputs

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service and its client-side software for its intended purpose. As between you and us, you retain your rights in the files you upload and in the outputs you generate, subject to the rights of any third-party components used to produce them.

Certain tools rely on third-party model weights. The Background Remover uses U‑2‑Net weights (Apache‑2.0), redistributed via rembg under the MIT license; the applicable upstream licenses govern those components and are acknowledged accordingly. Your rights in any output produced with third-party weights are subject to those upstream licenses.

6. Suspension and termination

We may suspend, restrict, block, or terminate your access to the Service (in whole or in part, and to a specific account, organization, or actor) if we reasonably believe you have violated these Terms, to protect the Service or other users, or to comply with law. You may stop using the Service at any time.

7. Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement, to the fullest extent permitted by law.

8. Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising from your use of the Service.

9. Changes

We may update these Terms. If a change is material, we will take reasonable steps to notify you, such as a notice in the Service. Your continued use after a change takes effect means you accept the updated Terms.

10. Governing law

Governing law and venue will be specified here prior to commercial launch.
